Terms of Service

1. Acceptance of Terms
By accessing or using SQLSMS (“Service”), provided by SQLSMS Inc. (“SQLSMS”, “we”, “our”), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. The Service
SQLSMS is a governed SMS intelligence layer that connects to your data warehouse and enables approved users to ask business questions and receive read-only answers by text message. Use of the Service is subject to the order form, pilot agreement, or subscription executed between you and SQLSMS.
3. Customer Data & Warehouse Access
You retain all rights to your data. You grant SQLSMS a limited license to access your warehouse strictly to operate the Service and execute approved read-only queries. SQLSMS does not sell customer data and will not use customer data to train third-party models.
4. Acceptable Use
You agree not to (a) reverse engineer the Service, (b) use the Service to violate applicable laws, (c) attempt to bypass governance, permissioning, or audit controls, or (d) resell access without a written agreement.
5. Fees, Pilots & Subscriptions
Paid pilots and annual subscriptions are governed by the corresponding order form. Fees are non-refundable except as expressly stated. Late payments accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
6. Confidentiality
Each party agrees to protect the other’s confidential information with the same care it uses for its own, and in no event less than reasonable care.
7. Warranties & Disclaimers
The Service is provided “as is”. SQLSMS disclaims all warranties not expressly stated in a signed agreement, including implied warranties of merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages. Each party’s aggregate liability is limited to the fees paid in the 12 months preceding the claim.
9. Termination
Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your access to the Service ends and SQLSMS will delete customer data per the Data Handling section of our Privacy Policy.
10. Changes
We may update these terms from time to time. Material changes will be communicated by email or in-product notice.
